This paper provides an understanding of laws directly affecting business enterprises and encourages the application of legal principles to problem situations, as well as critical thinking about the broader issues which arise in relation to business enterprises.

Learning Outcomes

Students who successfully complete the course should be able to:

  • Students will be able to identify and explain the current law, including statutes, regulations, and common law, of commercial entities and trading structures, especially with regard to concepts of corporate legal entities.

  • Students will receive a brief introduction to the main forms of capital a company may be able to access.

  • Students will be able to identify and explain the statutory and administrative requirements relating to record keeping, accounting, auditing, reporting and disclosure, in relation to companies.

  • Duties and responsibilities of directors will be identified in relation to companies, and students will be able apply these to practical examples.

  • Other areas of law impacting on the operations of companies will be considered from a practical perspective so that students will be able to identify and apply these various issues in a practical manner.

  • The concept of corporate governance is covered so students will be able to recognise the importance of a business having a governance framework.

  • The concept of risk management will underpin the learning outcomes, with emphasis being placed on the role of directors in terms of their responsibilities in this area of governance.

Internal assessment for this paper is in the form of two tests, and a mark for tutorial homework, attendance and participation, as set out below. Make up tests will be available at a notified time for each test, for those students who have been given permission by the Convenor to sit a makeup test. Tests will be returned through MSC.

The internal assessment/exam ratio (as stated in the University Calendar) is 1:1. There is no final exam. The final exam makes up 50% of the overall mark.
